Eyecopia End User License Agreement (EULA)
These License Terms govern your use of the Eyecopia Software (Software) developed by Enjoin, LLC.
You should carefully read the following terms and conditions before using this software.
Your use of this software indicates your acceptance of this license agreement.
- License Grant. Enjoin grants you a license to use one copy of the Software and any related documentation (Documentation) subject to the following terms:
- You may:
- Install the Software on any one computer.
- Copy the Software for back-up and archival purposes provided any copy must contain all the original Softwares proprietary notices.
- You may not:
- Modify, translate, decompile, disassemble, reverse engineer, or decrypt the Software. In some jurisdictions, Enjoin's consent may not be required for limited Disassembly.
- Rent, lease, transfer, or otherwise transfer rights to the Software or Documentation.
- Permit other individuals to use the Software except under the terms listed above.
- Ownership. The Software is owned and copyrighted by Enjoin. Your license confers no title to, or ownership in, the Software and is not a sale of any rights in the Software.
- Disclaimer of Warranty. THE SOFTWARE AND DOCUMENTATION ARE PROVIDED AS IS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ENJON FURTHER DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE AND DOCUMENTATION REMAINS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ENJOIN BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE PRODUCT, EVEN IF ENJOIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- Indemnification. You agree to record and play back only those materials for which you have the necessary permissions, licenses and/or clearances. You further agree to release, indemnify, defend and hold harmless Enjoin, its shareholders, subsidiaries, affiliates, officers, directors, employees, agents and advisors, from and against any and all losses, liabilities, claims (including claims without legal merit or brought in bad faith), demands, damages, costs or expenses, causes of action, suits, proceedings, judgments, awards, executions and liens, including reasonable attorneys' fees and costs (whether brought by third parties or otherwise) due to or arising out of your use, installation or download of the Product or your breach of this Agreement.
- Termination. Enjoin may terminate your license, upon notice, for failure to comply with any of these License Terms. Upon termination, you must immediately destroy the Software, together with all copies, adaptations and merged portions in any form.
